Consignor Agreement
This Consignment Agreement is made between CT Style Vault, herein referred to as “Consignee,” and yourself, herein referred to as “Consignor.”
1. Recitals
Whereas, the Consignor wishes to consign goods to Consignee for sale, and the Consignee agrees to accept such goods and sell them on behalf of the Consignor according to the terms and conditions outlined in this Agreement.
2. Delivery and Acceptance
You, the Consignor shall deliver the item(s) to the Consignee, CT Style Vault, or if agreed upon, an employee of CT Style Vault will pick up the items at the Consigner’s address. CT Style Vault shall inspect and accept the goods and determine which goods will be consigned.
We primarily accept women’s fashionable, name brand items, that are freshly cleaned and in like-new condition. All acceptance decisions are within the sole and absolute discretion of CT Style Vault. We will notify you, by phone or email, if any of your items are not accepted.

Items not accepted for consignment or not listed for sale will be donated unless you have indicated below that you wish to have them returned.

If you choose on this form that you would like your unsold items returned to you at the end of the consignment period, you understand you have seven (7) days from the date we notify you to pick up your unaccepted items or if mutually agreed upon at inspection, CT Style Vault will deliver back to you in a timely manner. If you have not picked up your items within 7 days, you acknowledge and agree that CT Style Vault will donate the items to a charity of its choosing and CT Style Vault will have no further obligation or liability to you with respect to such items.
3. Guarantee of Authenticity and Ownership
By signing below, you represent and warrant to CT Style Vault that all items you present to CT Style Vault for consignment are authentic, as represented, and that you are the sole legal and rightful owner of such items with full authority to consign such items to CT Style Vault free of any liens or other encumbrances or restrictions. If the foregoing proves to be untrue or inaccurate in any way, you agree to indemnify CT Style Vault for any damages, fees (including attorneys’ fees), costs, and/or claims that may arise, including the return of a buyer’s purchase price, as a result thereof. Your representations and warranties in this Section 3 shall survive the sale of your items.
4. Pricing and Payment Terms
Upon receipt of an item of Consigned Property, CT Style Vault will evaluate it to determine the price. CT Style Vault retains sole discretion over pricing of all consigned items, based on brand, condition, seasonality, market demand, and other relevant factors.
Payments to you, the Consigner, on sold items shall be made via check or Zelle, to the consignor’s most updated home address or bank account provided. Payments are issued once a month for sales made in the prior month. If you have any questions about the status of your items, please do not hesitate to contact us
5. Commission and Fees Payments to You
You, The Consignor, shall earn a commission of 50% of the sales price of goods sold unless otherwise agreed upon in writing and acknowledgement of both parties. CT Style Vault, The Consignee, will receive fifty percent (50%) of the sales price of your item(s), less applicable taxes, after the item sells.
Example: If an item sells for $100 (excluding sales tax), you will receive $50, and CT Style Vault will retain $50 as its commission.
6. Ownership and Risk of Loss
You, The Consignor, retains ownership of the goods until they are sold by the Consignee and paid for in full.
All consignments are at your own risk. CT Style Vault is not responsible for any loss or damage to items, including, but not limited to, damage caused by theft, fire, flood, tears, stains or other damage resulting from potential buyers trying on items, loss or damage in shipment to or from CT Style Vault, or any other loss or damages of any kind or nature whatsoever. You, the consignor cedes all risk of loss or damage of goods once they drop goods off to, or are picked up, by CT Style Vault.
7. Storage and Care
The Consignee agrees to store and care for the consigned goods in a manner consistent with industry standards and applicable regulations.
8. Sales and Reporting
The Consignee agrees to maintain accurate and up-to-date records of sales, inventory, and financial transactions. Regular sales and inventory reports shall be provided to the Consignor upon request no more than once per calendar month. Should a consignor’s total net profits exceed $600 in a calendar year, consignee agrees to remit a 1099 to the consignor during our reporting schedule and you are responsible to report and pay any applicable taxes on your profits.
9. Return of Unsold Goods
At the formation of consignment with CT Style Vault, all unsold goods will be donated unless you, the consigner, opt to have unsold items returned to you at the end of an approximate 6 month consignment period. If you choose to have the item(s) returned to you, we will notify you, by phone or email, if any of your items have not sold.
You will have 14 calendar days from the date of notification to retrieve unsold items. Failure to do so will be deemed abandonment, and CT Style Vault will donate to a charity of its choosing without further obligation or liability to you with respect to such items
During the consignment period, you may request in writing that We return any Accepted Item (a “Return Request”), so long as the Accepted Item has not already been Sold. Once We receive Your Return Request, We will use commercially reasonable efforts to remove the Accepted Item from the Service, if applicable, before it is Sold, and return such Accepted Item to You. It will be the consignor’s responsibility to pick up the items they wish to have returned.
10. Keeping Contact Information Current
It is your responsibility to update Ct Style Vault of any changes to your mailing address, email or phone number. Failure to do so may result in you not receiving notices of unaccepted or unsold items or any changes in terms, or delayed payments and additional fees for checks to be re-issued.
11. Duration and Termination
This Agreement shall commence once you hand over possession of your item(s) to the “CT Style Vault” for consignment and continues until CT Style Vault decides to no longer consign those goods and return, or after sitting 180 days in our inventory, or if CT Style Vault has donated them if you choose that option at the commencement of the agreement.
The consignment period is generally 180 days from the date we receive and accept an item for consignment. While we may accept out of season items, off-season items will begin their consignment term only when listed or displayed for sale, at CT Style Vault’s discretion. You understand and agree that CT Style Vault has no obligation to promote any item over any other item or to display any item more prominently than any other item. All display and similar decisions shall be in the sole and absolute discretion of CT Style Vault.
12. Dispute Resolution & Governing Law
This Agreement shall be governed by the laws of CT. Any disputes arising out of this Agreement shall be resolved through Mediation/Arbitration in CT. This arbitration provision, which will, with limited exception, require you to submit claims you have against us to binding and final arbitration. Under the arbitration provision, (1) you will only be permitted to pursue claims against us on an individual basis, not as a plaintiff or class member in any class or representative action or proceeding, and (2) you will only be permitted to seek relief (including monetary, injunctive, and declaratory relief) on an individual basis. Each party shall bear its own costs unless the arbitrator determines otherwise. These terms of use also contain other limitations on you, including limitations on our liability, certain releases of claims and certain disclaimers.
13. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY
YOU EXPRESSLY UNDERSTAND AND AGREE THAT:
Your use of our services is at your sole risk. Our consignment, get paid, and other services are provided on an “as is” and “as available” basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We make no warranty that (a) our services will meet your requirements or (b) will be uninterrupted, timely, secure, or error-free. No advice or information, whether oral or written, that you obtain from us or through or from our website or our services will create any warranty not expressly stated in these terms.
In no event will our liability under this agreement exceed the amount we have actually received or paid as a result of selling, purchasing, or the current value of your property hereunder. The foregoing disclaimers and limitations are a fundamental part of the basis of our business, and we would not enter into this agreement without such disclaimers and limitations.
14. Miscellaneous
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements. This Agreement may be amended only in writing and signed by both parties.
YOU MUST AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT IF YOU WISH TO CONSIGN OR SELL GOODS WITH CT STYLE VAULT. BY SIGNING BELOW, YOU CONFIRM THAT YOU HAVE READ, UNDERSTAND AND AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT. ONCE YOU AGREE TO THIS AGREEMENT, IT WILL REMAIN IN EFFECT AND GOVERN ALL TRANSACTIONS BETWEEN YOU AND CT Style Vault UNTIL YOU OR WE TERMINATE IT PURSUANT TO SECTION 9 OF THIS AGREEMENT.
